RULES AND REGULATIONS OF NANAAS

MEMBERSHIP

MEMBERS:

Member Types. There shall be the following types of Members, with the rights and duties of Membership as set forth in the Certificate of Incorporation and these

Bylaws:

(a) VIP Members - $90.00 annual membership
(b) Voting Members; - $50.00 annual membership

(b) Associate Members - $25.00 annual membership

Not Transferable.
No Membership, or any interest therein, is directly or indirectly transferable, and any attempt to do so shall be void and grounds to terminate the Membership.

Conditions and Rights of Membership.

Conditions of Membership. In a manner consistent with the Certificate of

Incorporation and these Bylaws, and (a) and (b) below, the NANAAS board shall establish, and can modify from time to time, the conditions of admission of Members and of each Membership Class and the rights, duties, obligations and restrictions on Members and each Membership Class.

(a) Commitment to NANAAS Purposes. By making an application for Membership and holding a Membership interest, a person is making a commitment to the NANAAS to further the purposes of the NANAAS and to abide by the Certificate of Incorporation, these Bylaws, and all rules or regulations approved by the NANAAS Board.

(b) Recording, Design, Film, Video, Art Industry Participation.

(i) Each Voting Member, at the time of application for Membership, must be an active participant in the above mentioned industries in accordance with rules or regulations approved by the Board of Governors.

(ii) Each Associate Member must have significant current activity related to the above mentioned industries in accordance with rules or regulations approved by the NANAAS Board.

(iii) Each Affiliate Member must have professional or other interests that are aligned with the NANAAS in accordance with rules or regulations approved by the NANAAS Board.

(c) Dues. Each Member must pay dues on a timely basis as required by rules or regulations approved by the NANAAS Board.

(d) Reconfirmation of Eligibility. Any Member must, if requested by the NANAAS, reconfirm in writing that such person continues to be eligible for Membership under the conditions for Membership at the time.

Resignation. A Member may resign from the NANAAS by delivering to the NANAAS his or her written Notice of resignation. A Member who has resigned while in good standing may be reinstated if permitted by, and in accordance with, the NANAAS’s rules or regulations approved by the NANAAS Board.

Termination, Cancellation and Suspension of Membership. Membership may be terminated, cancelled or suspended for the failure of a Member to pay on a current basis the required Member dues, or for other reasons, including, but not limited to, conduct by the Member that the NANAAS Board believes to be harmful to the welfare, standing or best interests of the NANAAS or to other Members. An individual whose Membership has been terminated, cancelled or suspended shall not be eligible to vote as a Member, to serve as a member of or as an officer or committee member of any the NANAAS body, or Board Officer, to attend local, national or meetings, or otherwise receive or participate in any benefits of Membership.

Life Membership. The NANAAS Board may designate any Voting Member or Associate Member a Life Voting Member or Life Associate Member, as applicable.

Dues may be waived for any such Life Voting Member or Life Associate Member, and all other rights, duties and conditions of Membership shall remain in force. Such designation may be removed by the NANAAS Board, with or without Cause, either generally or with respect to particular individuals.

All Voting Members. All Voting Members shall constitute a separate Membership Class and, as such, shall select the NANAA® Award recipients, by a Plurality Vote of those voting, pursuant to nomination and voting procedures approved from time to time by the NANAAS Board.

VOTING MEMBERSHIP

QUALIFICATIONS

This classification is for creative and technical professionals who qualify in at least one of the categories of eligibility. All Recording, Design, Film, Video and Art must be commercially released in the United States either through traditional distribution channels or online retail settings.

TRADITIONAL DISTRIBUTION

Recording, Film, Video:: Six commercially released tracks (or their equivalent), whether on one CD, or DVD or a combination of CDs, or DVD's that is/are released and available at traditional, brick and mortar retail outlets. Design, Crafts, Art ::At lease Two commercially released Products (or their equivalent), that is/are released and available at traditional, brick and mortar retail outlets.


DIGITAL DISTRIBUTION

Recording, Film, Video,
12 commercially released tracks or two full lengths CD releases which are available to the public through recognized online music retail sites. CDs sold through venue sales, personal websites, used record stores or other non-established retail outlets do not qualify. Applicants must have a website or its equivalent promoting themselves as an participate in the entainment industry. If you do not meet the requirements for digital distribution, please contact the NANAAS for an alternate means of applying for Voting Membership.

REQUIREMENTS

• The original (or photocopy) of your qualifing project (s), or (for recording) a copy of your discography from allmusic.com must accompany your application.

Please highlight where your name appears in the credits. If you cannot produce the necessary credits, please contact NANAAS for assistance.

• Proof of distribution. If the project is not in wide release, then proof of distribution is required.


This can consist of:

• print out of the "buy" page on allmusic.com (traditional and digital)

• print out of the online retailer’s webpage showing the project/product for sale (digital only)

• copies of invoices to retailers showing payment for project/product received (traditional only)

• contact information for three stores where the project/product is sold (traditional only)

• If you are applying in more than one category, proof of credits for each category must be included.

• For Video/Film Sound Track Categories, you must have at least six credits (CDs or videos).

• For Video/Film, Short and Long Categories, you must have been featured in at least six commercially or a cobinations totally up to (Six) promotionally released video/film selections. You may combine music video performances listed here to achieve the required minimum, provided that each is a different performance.


MEMBERSHIP ACCEPTANCE

Your signature on the application and your remittance of dues payment constitutes a representation on your part that you have not accepted or agreed to accept any consideration for your votes in all NANAAS Academy matters. Once membership in the NANAAS has been accepted, you commit to abide by applicable provisions of the Certificate of Incorporation, The NANAAS’s Bylaws, and all rules and regulations promulgated from time to time, including the strict rules governing the purchase and transferability of NANAA Awards tickets.

All applications are subject to approval and acceptance by the NANAAS. Membership in the NANAAS can be granted, withheld, suspended, delayed or terminated by the NANAAS if it determines that doing so is in the best interests of the NANAAS, determined at its sole and absolute discretion.


The NANAAS supports all Native American arts and crafts (designed and or manufactured) including all listed categories up for nominations. All aforementioned categories under consideration by the NANAAS are open to Native and non-Native alike who support the Native culture, arts and history. At the same time the NANAAS recognizes the laws supporting “authentically claimed” Native arts and crafts.
 
THEREFORE;
The NANAAS supports the Native American Arts and Craft Act of 1990.  All arts and crafts products, displayed, for sale or exhibited during any and all award shows will comply with The U.S. Department of Interior’s Indian Arts and Crafts A ct of 1990 (P.L. 101-644) including any and all updated amendments. The law covers all Indian and Indian-style traditional and contemporary arts and crafts produced after 1935.                 Visit http://www.doi.gov/iacb/act.html  for more information.
